What it requires
Part II applies to a contract under which a supplier agrees to carry out a service, other than a contract of service or apprenticeship and other than a contract to which Chapter 4 of Part 1 of the Consumer Rights Act 2015 applies — so, in practice, business-to-business service contracts, including construction work where goods are also transferred (s.12(1)–(3)). Where the supplier acts in the course of a business there is an implied term that it carries out the service with reasonable care and skill (s.13) and, where the time is not fixed by the contract, left to be fixed in an agreed manner or determined by the course of dealing, within a reasonable time (s.14). Where the consideration is not so determined, the customer pays a reasonable charge (s.15). A right, duty or liability under Part II may be negatived or varied by express agreement, course of dealing or binding usage, subject to the Unfair Contract Terms Act 1977; an express term does not negative an implied term unless inconsistent with it; stricter duties imposed by law are preserved (s.16). s.13 is excluded for services described in S.I. 1983/902 and S.I. 1985/1 (not read). Parts I and II extend to England and Wales and Northern Ireland, not Scotland (s.20(6)).
