What it requires
A company discloses its registered name on its business letters, notices and other official publications; bills of exchange, promissory notes, endorsements and order forms; cheques and orders for money, goods or services signed on its behalf; bills of parcels, invoices and other demands for payment, receipts and letters of credit; applications for licences; all other business correspondence and documentation; and its websites (reg 24). On its business letters, order forms and websites it also discloses the part of the United Kingdom in which it is registered, its registered number and its registered office address, and, if it states share capital, the paid-up share capital (reg 25). A business letter that names any director other than in the text or as a signatory names every director (reg 26). The registered name is displayed at the registered office, any inspection place and any other location where the company carries on business, other than one primarily used for living accommodation (regs 21–23). On written request the company discloses its registered office, inspection places and the records kept there, replying within five working days (reg 27). Disclosures must be readable with the naked eye (reg 20). Failure without reasonable excuse is an offence by the company and every officer in default (reg 28). The trading disclosure provisions also apply to limited liability partnerships through the amendments in Schedule 5.
