reg 5(1) — Parts A1 (moratorium), I (voluntary arrangements), II (administration), III (receivership), IV (winding up), VI (miscellaneous provisions for insolvent companies, which includes s.233B) and VII of the First Group of Parts of the Insolvency Act 1986, and the Third Group of Parts, apply to limited liability partnerships. reg 5(2) — they apply, except where the context otherwise requires, with references to a company including an LLP, references to a director or officer including a member, references to a shadow director including a shadow member, the modifications in Schedule 3 and any further modifications the context requires. Schedule 3 makes no modification to s.233B. reg 5(3) — in Scotland the provisions listed in Schedule 4 are not applied to the extent it specifies; Schedule 4 includes "Section 233B to the extent that that section applies in the case of the appointment of an administrative receiver" (inserted from 26 June 2020 by the Corporate Insolvency and Governance Act 2020 Sch 12 para 6). The result is that s.233B (protection of supplies of goods and services) reaches an LLP customer entering a moratorium, voluntary arrangement, administration, administrative receivership (not in Scotland under these Regulations), liquidation or provisional liquidation, with the Schedule 4ZZA exclusions — see register entry insolvency-act-1986-s233b. A supply or subcontract term allowing termination because an LLP client enters one of those procedures stops having effect when it does.
