What it requires
s.82 — regulations (the Company, Limited Liability Partnership and Business (Names and Trading Disclosures) Regulations 2015) require companies to display and state specified information, and must in every case require disclosure of the company's name. Part 41 Chapter 2 applies to an individual or partnership carrying on business in the UK under a business name — any name other than the individual's surname, or all partners' surnames or corporate names, with only permitted additions such as forenames or initials (s.1200). The information required is the individual's name, or each partner's name, and for each an address in the UK (where there is a UK place of business) at which service of any document relating to the business will be effective (s.1201). It must be stated legibly on all business letters, written orders for goods or services to be supplied to the business, invoices and receipts issued in the course of the business, and written demands for payment of business debts, and given immediately by written notice to anyone dealing with the business who asks (s.1202); a partnership of more than 20 may instead keep a list of partners at its principal place of business, subject to conditions (s.1203). A notice with the information is displayed prominently at premises where the business is carried on and to which customers or suppliers have access (s.1204). Failure without reasonable excuse is an offence (s.1205). A claim by a person in breach to enforce a contract made in the course of the business is dismissed if the defendant shows it could not pursue a claim, or suffered financial loss, because of the breach, unless the court considers it just and equitable to let it continue (s.1206).
